Founding and Form

The Founding

The Alvan Ikoku Group LLC was established in January 2019 by its sole Founder, Original Member, President and Chair, Alvan Azinna Chibuzo Ikoku — as one part of ongoing work he has carried out for over two decades, leading also to his founding of Publiks IncThe Ikoku Charitable Trusts and The Ikoku Foundations. Where appropriate and approved by the Founder, these entities endeavor to coordinate their efforts and resultant benefit to the communities they serve.

Formation

The Alvan Ikoku Group LLC is formally organized as a series limited liability company, as provided for in the Delaware State Code of the United States, and it is registered and headquartered in Wilmington, Delaware. The Group is also officially known under the business names, The Alvan Azinna Chibuzo Ikoku Group and The Ikoku Group. All three names, as used in official Ikoku Group documents, products, services, and sites, refer to the same aforementioned company entity.

The Divisions

As provided for under law for series limited liability companies, The Ikoku Group uses its series as a primary means to structure its assets, interests and operations. A portion of The Ikoku Group interests, series and shares-equivalents are dedicated to the structuring of its assets, operations, products, services and sites into the five (5) divisions and eight (8) areas of focus described in the main Areas and Divisions page.

The five divisions are as follows:

  1. Ikoku Corporation;
  2. Ikoku Holdings;
  3. Ikoku Services;
  4. Ikoku Philanthropies; and
  5. Publiks Group.

The Areas

As further described in Areas and Divisions, the divisions of The Ikoku Group develop, provide and safeguard holdings, products, services and sites in the eight (8) areas below:

  1. Care | Health | Sciences;
  2. Culture Communities;
  3. Design | Development;
  4. Ethics | Rights;
  5. Education | Information;
  6. Research | Inquiry;
  7. Real | Intellectual Property; and
  8. Solutions | Technologies.

The Mission

The Ikoku Group, via its divisions, is thus structured to carry out efforts in the aforementioned areas, and to ultimately fulfill its originating mission to foster care and creativity, ethics and innovation in work and communities of enduring concern to the Founder and Partners. As always, the objective is the improvement of lives and the betterment of societies.

Governing Structure

Ownership

The Ikoku Group is led and managed by its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku, who serves as its President and CEO. The following are further details concerning governance of The Group.

Sole Shareholder, Director, Authorizer

Alvan Azinna Chibuzo Ikoku is the sole interests-holder, shareholder and director of The Ikoku Group and its divisions, series and subsidiaries, and as such is the only person empowered to authorize The Ikoku Group to engage in or enter into a specified activity or arrangement.

Sole Manner of Authorization

Such authorization by the above Founder may proceed only via express written and signed instrument. No other activity in The Ikoku Group, its divisions, series, subsidiaries, and affiliates, or the Products and Services may take the place of such authorization, nor may any other such activity be taken as indication of donor preference, authorized transfer of charitable funds, or permission for any specific nonprofit activity on the part of The Ikoku Group, its President, Alvan Azinna Chibuzo Ikoku, or The Ikoku Charitable Trusts or The Ikoku Foundations.

Any further announcements and details of the leadership and management of The Ikoku Group shall be provided here upon completion of searches and appointments by the Founder.

Any further announcements and details of partners within and partnerships with The Ikoku Group shall be provided here upon completion of agreements and appointments by the Founder.

Core Purposes

Opening

The development of The Ikoku Group is governed by its sole Founder and Owner, Alvan Azinna Chibuzo Ikoku, as well as a set of attendant mission-related core purposes derived from a history of company establishment further described below:

History and Impetus for Founding

During a period preceding and extending into the formation of The Alvan Ikoku Group LLC, the Founder, Alvan Azinna Chibuzo Ikoku, was subject to a set of consistent, extensive, pervasive, dehumanizing and subhumanizing practices — including but not limited to discrimination, harassment, stalking, and unconsented communication, experimentation, monitoring, and spying — that entailed profound violations of the Founder’s basic, fundamental and natural freedoms, liberties and rights, confidentiality and privacy rights, and fundamental autonomy, dignity and humanity accorded and provided to citizens and residents of California, Delaware, the United States, and member states of the United Nations.*

Harassment and Surveillance
Several of such practices condoned, encouraged and entailed the public, vigilante and wanton harassment, spying, stalking, surveillance, and unconsented tracking of the Founder.
Unconsented Exhibition and Experimentation
Several of such practices condoned, encouraged and entailed the demeaning, harmful, nonbenign, public and unconsented exhibition of and experimentation upon the Founder.
Unconsented Care, Communication, Research, Training
Several of such practices condoned, encouraged and entailed the demeaning, harmful, nonbenign, public and unconsented yet supposed care, communication, education, research and training of, on and with the Founder.
Denial of Consent, Due Process and Liberty Rights
Several of such practices insisted on the denial of the Founder’s rights to consent, rights to due process, and rights to liberty.
Denial of Private Property and Private Work Rights
Several of such practices insisted on the denial of the Founder’s rights to private property (real and intellectual), rights to private ownership, and rights to private, uncoerced and unindentured labor and work, including the discriminatory and false insistence that such property and work of Alvan Azinna Chibuzo Ikoku and of The Ikoku Group and its series, divisions, subsidiaries, and affiliates are public or communal, are public or communal property, are under public or communal control or supervision, and belong to the public or any collective.
Denial of Private Control Rights
Several of such practices further insisted on the denial of the Founder’s rights to private control of property (real and intellectual), of labor and work, of development and employment of ideas, and of the results of the aforementioned, including the condoning of, planning for, and reliance on practices of counterfeiting, fraud, hacking, identity theft, piracy, and equivalently confusing and fraudulent activities. Such practices entailed falsely presenting to other persons alternative versions of The Ikoku Group including its series, divisions, subsidiaries, and affiliates as entities administered, governed, managed, operated and otherwise owned or supervised by any person other than Alvan Azinna Chibuzo Ikoku, the sole Owner and Founder of The Ikoku Group. Such practices also entailed falsely presenting alternative versions of the goods, products, services, sites, and other offerings of The Ikoku Group as entities administered, governed, managed, operated and otherwise owned or supervised by any person other than Alvan Azinna Chibuzo Ikoku, the sole Owner and Founder of The Ikoku Group. And such practices also entailed falsely posing as though other persons, beyond Alvan Azinna Chibuzo Ikoku, have or deserve control, decision-making, governance, policy-making, rules-making and any other administrative, management, operations, supervision or ownership powers or rights pertaining to The Ikoku Group, any of its goods, products, services, sites and other offerings, and any of the divisions, series, subsidiaries, or affiliates.
Denial of Confidentiality and Privacy Rights
Several of such practices consistently and pervasively insisted on the denial of the Founder’s rights to confidentiality and privacy, including but not limited to the practice of spying and unconsented monitoring, recording, and transmission.
Denial of Private Life
Several of such practices consistently, pervasively and literally insisted on the denial of the Founder’s basic, fundamental and human right to a private life, including to any private emotion, feeling, idea, moment, or thought.
Denial of Freedom of Thought
Several of such practices consistently, pervasively and literally insisted on the denial of the Founder’s basic, fundamental and human rights to freedom of thought, to privacy of thought, including to thinking without detection or recording, and to privacy of personal and private speech.
Denial of Autonomy, Dignity and Humanity
Several of such practices thus consistently, pervasively and literally insisted on the denial of the Founder’s basic rights to enjoy the degree, level, and quality of autonomy, dignity, humanity, and humanness provided to citizens and residents of California, Delaware, the United States, and member states of the United Nations.
Discriminatory Dissemination and Withholding of Information
Several of such practices also consistently and pervasively insisted on the withholding of basic, fundamental and necessary information from the Founder regarding the above, and thus insisted on the denial of basic, fundamental and necessary understanding of one’s circumstances needed as a basis for consent, decision-making, and the subsequent seeking, obtaining, and provision of basic, civil, fundamental and human rights. Such withholding of information occurred and was consistently and pervasively sustained while providing other persons, including those in business, education, government, and the general public, an excess surfeit of information regarding the Founder and broad access to means of conducting profound violations of the Founder’s basic, fundamental and natural freedoms, liberties and rights, confidentiality and privacy rights, and fundamental autonomy, dignity and humanity as described above.
Collusion, Targeting, Meaningfulness, Conditions
Several of the above practices also entailed collusive behavior with effects that include, but are not limited to, the consistent, extensive, pervasive and knowing targeting of the Founder and the Founders activities and movements, affairs and assets, companies and entities, plans, projects, properties and other aspects and pursuits of his life; the consistent, extensive, pervasive and knowing denial of meaningful consent or volition for the Founder; the consistent, extensive, pervasive and knowing denial of meaningful confidentiality and meaningful expectation of confidentiality for the Founder; the consistent, extensive, pervasive and knowing denial of meaningful privacy and meaningful expectation of privacy for the Founder; and the consistent, extensive, pervasive and knowing insistence that the aforementioned practices be the conditions of employment, investment, mentoring or supervision, ownership, partaking of commerce and services, work as well as living and life where they are not the conditions of employment, investment, mentoring or supervision, ownership, partaking of commerce and services, work as well as living and life for other entities and persons — including within equivalent departments, fields, industries, institutions, occupations, positions, and professions — as well as for citizens and residents of California, Delaware, the United States, and member states of the United Nations.
Discrimination Based on Difference
And several of such practices brought to the fore the place and function of human and perceived difference (including those pertaining to birth and citizenship, culture, ethnicity, gender, race, and sex) in the insistence on the above denials, sustained harassment, targeting, and ultimately discrimination as well as in their continuation via the imposition of ad-hoc, nontransparent, unconsented, uninformed and unregulated processes of voting on and competing, gaming, sporting, and toying with the Founder and with the Founder’s affairs, life, privacy, and property and via the assertion of scapegoating, targeting and vigilante collective action or will.

Founding Core Purpose

In response to the above, the Founder, Alvan Azinna Chibuzo Ikoku, established and shall further develop The Ikoku Group with the core, express and founding purpose to create, develop, and support communities, institutions, and societies where the above and related practices do not occur and to help other communities, institutions, and societies reduce the occurrence and prevalence of the above and related practices.

Sancthumanism

Such core, express and founding purpose shall also be in response to apparent, historical and sustained failures and limitations of established, present-day and prevailing civics, commerce, education, institutions, politics, public discourse and religion to provide a meaningful moral and ethical basis for ensuring the care, equanimity, recognition, respect, sanctity, sovereignty and spiritual or theological wholeness of human beings in contemporary society. Thus, The Ikoku Group, operating as a for-profit company, shall do so via the following faith-based commitments and principles:

Sancthụmanism
that The Ikoku Group advance, develop, offer, practice, study, and teach Sancthụmanism — administered, defined, interpreted and organized solely by the Founder, Alvan Azinna Chibuzo Ikoku — as a distinct faith and spiritual order, not to be conflated with any other established or organized faith, religion, or spirituality;
Human and Humane Ethics
that such a distinct faith and spiritual order practice and promote belief in the moral ethics, principles, and tenets of humanity, humanness, human autonomy and dignity, human recognition and reciprocity, human equality in basic, fundamental and natural freedoms, liberties and rights, and thus human equanimity and humane co-existence;
Mmadụism
that such belief in Sancthụmanism be furthermore grounded in Mmadụism and its basic moral and ethical injunction as formulated in two fundamental claims: ọ bu mmadụ (“that person is a human being”) and ọ bụ nwa mmadụ (“that person is someone’s child” or “that person is a human being’s child”);
Disciplines, Practices, Studies
that such belief in Sancthụmanism hold engagement in human and humane disciplines, practices, and studies as a manifestation of and respectful treatment of human beings and human societies in light of the above fundamental claims and their moral and ethical injunctions;
Inquiry, Revelation, Elucidation
and so, where conducted in a manner that is ethical, humane and respectful, that such engagement be further grounded in the study of, inquiry into, revelation in, and elucidation from comparative human disciplines and societies — including comparative forms of ecumenism, religion, spirituality and theology, the arts, the humanities, the sciences, theory, and the application of knowledge in civics, culture, law, medicine, politics, sports, and technology.

Attendant Core Purposes

As part of the core, express and founding purposes described above, the Founder, Alvan Azinna Chibuzo Ikoku, shall also further develop The Ikoku Group in view of the Founder’s birth into, formation within and further development of a multigenerational, longstanding family commitment to lifelong education and research; as well as in direct response to past, present-day and ongoing infringements of basic, fundamental and natural freedoms, liberties and rights, including the disenfranchisement, forced migration, impoverishment, marginalization, stigmatization, underrepresentation, unethical care and research, and violations of due process, liberty and privacy rights, of varying peoples in Africa, its global diasporas, and culturally and structurally connected societies. The Ikoku Group shall thus have an attendant founding purpose to promote public awareness of, enhance public knowledge of and engage in commerce in and pertaining to Africa, its global diasporas, and its connected or shared societies, as well as foster global interrelationships between Africa and the Americas, Asia, Australasia and Oceania, and Europe.

Incompatibility with Founding

Notwithstanding any provisions of the Codes and Policies of The Ikoku Group or any other applicable documents, guidelines, laws, policies, or equivalent legal instruments, no objectives of The Ikoku Group shall supersede or be of greater benefit, import, or priority than the core, express and founding mission and purposes of The Ikoku Group as defined, described and delineated above. No activities, operations, or other processes of The Ikoku Group shall entail any of the aforementioned dehumanizing or subhumanizing practices. Any version of such practices — as well as any accruing of advantage, benefit, or information through such practices, and also any natural or legal persons assisting, employing, permitting, planning, or otherwise conducting or promoting such practices — are by definition incompatible with The Ikoku Group as well as its founding, development, administration, management, and operation. And upon the discovery by any person of such practices or its equivalent, immediate reporting and subsequent remedying shall be conducted to and via Alvan Azinna Chibuzo Ikoku, the sole Founder and Owner of The Ikoku Group, who shall be the sole person to interpret this and other codes and policies of The Ikoku Group and adjudicate the aforementioned and attendant matters.

Examples of Incompatibility

For these reasons, no person or entity may become or remain qualified as board or committee member, director, trustee, officer, executive, manager or other leadership, staff or employee, advisor or consultant, provider of care, of education, of mentorship, or of training, affiliate, partner, representative, recipient of funds or resources, researcher or observer, sponsor, supervisor, volunteer, parental entity, voting or decision-making entity, member or stakeholder, or other agent of The Ikoku Group (including its divisions, series, subsidiaries, affiliates, and partners) if conducting or promoting any of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors, or their equivalent, as well as if in intentional violation of the core, express and founding purposes described above, the Founding and Governing Code of Ethics, or any of the ensuing codes, ethics, policies, protections, and rights provided for by The Ikoku Group concerning confidentiality, consent, privacy, respect, and unconsented care, education, experimentation, monitoring, research, tracking, training, supervision, or surveillance. Due to this stipulation, under no circumstances shall the following persons — as well as any affiliates, associates, collaborators, employees, employers, executives, leaders, members, partners, representatives, staff, volunteers, third parties, and other agents of said persons — qualify:

Example of Natural Person

Example of Natural Person — any natural person who engages in, aids in, or otherwise encourages, fosters, or promotes any of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors; who engages in, aids in, or otherwise encourages, fosters, or promotes the intentional interference with or violation of the codes, policies, protections, rights, studies, or teachings pertaining to the prevention of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors and especially the Founding Code of Ethics; who engages in, aids in, or otherwise encourages, fosters, or promotes the impediment, interference, or diminishment of the Founder’s ability to determine, interpret, and ensure the core, express and founding mission and purposes of The Ikoku Group; and who engages in, aids in, or otherwise encourages, fosters, or promotes the impediment, interference, or diminishment of the Founder’s governance over and administration, management, and operation of The Ikoku Group and particularly the Founder’s ability to determine and ensure remedies and compliance with the codes, policies, protections rights, studies, or teachings of The Ikoku Group pertaining to the prevention of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors and especially the Founding Code of Ethics. For instance, in this case, Eleanor Marie Brown (AB, Brown; JD, Yale) of Jamaica and the United States of America; Rafael Parera Nadal of Manacor, Mallorca, Spain; and Cristiano Ronaldo dos Santos Aveiro of Funchal, Madeira, Portugal; and Jeff Williams of Telegraph Hill, San Francisco, California, United States of America.

Example of Legal Personany legal person that engages in, aids in, or otherwise encourages, fosters or promotes any of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors; that engages in, aids in, or otherwise encourages, fosters, or promotes the intentional interference with or violation of the codes, policies, protections rights, studies, or teachings pertaining to the prevention of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors and especially the Founding Code of Ethics; that engages in, aids in, or otherwise encourages, fosters, or promotes the impediment, interference, or diminishment of the Founder’s ability to determine, interpret, and ensure the core, express and founding mission and purposes of The Ikoku Group; and that engages in, aids in, or otherwise encourages, fosters, or promotes the impediment, interference, or diminishment of the Founder’s governance over and administration, management, and operation of The Ikoku Group and particularly the Founder’s ability to determine and ensure remedies and compliance with the codes, policies, protections rights, studies, or teachings of The Ikoku Group pertaining to the prevention of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, or behaviors and especially the Founding Code of Ethics. For instance, in this case, Leland Stanford Jr University of Palo Alto, California, United States of America; The New York Times Company of New York City, New York, United States of America; and The United States Tennis Association of White Plains, New York, United States of America.

Example of Government Person

Example of Government Personas well as, additionally, for related ethics, governance, policies and protections reasons — any government or political person, including but not limited to any political party or organization, any government or public authority, entity, office, official or other agent, and any person who has held such authority, office, position or equivalent capacity, function or relationship within the preceding ten (10) yearsFor instance, in this case, Barack Hussein Obama (AB, Columbia; JD, Harvard) of Honolulu, Hawaii and Chicago, Illinois, United States of America.

Beneficiaries, Communities, Publics

To further clarify, with respect to The Ikoku Group, and especially its mission and purposes, Codes and Policies, and all other documentation and writing pertaining to its administration, governance, management, and operation, the terms “beneficiaries,” “communities,” “publics” and their equivalent (such as natural and legal persons and people employed, funded or served by The Ikoku Group) shall be limited to and include only persons who do not, in any way, engage in any of the aforementioned dehumanizing or subhumanizing practices and their attendant actions, activities, behaviors, or their equivalent, and furthermore those who accord persons equal and full enjoyment of basic principles derived from a robustly ethical and humane respect for the confidentiality and privacy of human beings — including but not limited to principles defined and delineated in the Codes and Policies — namely:

Principles for Consent
principles providing for, protecting and otherwise pertaining to consent.
Principles for Confidentiality
principles providing for, protecting and otherwise pertaining to confidentiality.
Principles for Privacy
principles providing for, protecting and otherwise pertaining to privacy.
Principles for Mind and Thought
pertaining to absolute rights to confidentiality and privacy of, as well as autonomy, freedom, and liberty of, mind and thought, especially including the activities and functions of the mind such as cognizing, perceiving, or thinking, and also talking by, to or with oneself.
Principles against Surveillance
providing for strict protections against activities that intrude into, track, or violate an individual’s body, mind, or person — including that which follows, identifies, or targets any individual person — as well as against their discriminatory effects and intents.

Basic Refusal to be Means or Medium

In light, therefore, of the aforementioned, The Ikoku Group and the Founder, Alvan Azinna Chibuzo Ikoku, do not and shall not, in any way or under any circumstances, agree, consent, or otherwise give license or permission to have any aspect of the Founder’s person — especially activities or functions of the body and mind such as cognizing, perceiving, or thinking, and also talking by, to or with oneself — accessed or otherwise engaged via any activity, in any manner or way, via any means or method, and for any benefit, end, goal, interest, mission, objective, purpose, or equivalent.
— Additionally, The Ikoku Group and the Founder, Alvan Azinna Chibuzo Ikoku, do not and shall not, in any way or under any circumstances, agree, consent, or otherwise give license or permission to have any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of either The Ikoku Group or the Founder accessed or otherwise engaged via any activity, in any manner or way and via any means or method such that the Founder’s person, or any natural person, becomes a means or medium for any benefit, end, goal, interest, mission, objective, purpose, or equivalent.
— This basic refusal and its principle — at once human and humane — shall, wherever there is conflict or question, legally supersede any conflicting provision or interpretation of any alleged, assumed, interpreted, presumed or otherwise made or understood agreement, consent, contract, law, license, permission, principle, regulation, right, or equivalent. The Founder shall, at the very least, enjoy the highest level of this principle and its protections that The Ikoku Group, the Codes and Polices, and applicable law and regulation provide.

Concluding

And furthermore, by engaging in any activity engaging, involving, referring to, relating to, or otherwise pertaining to The Ikoku Group, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of The Ikoku Group, any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the divisions, series, subsidiaries, or affiliates, as well as any activities, affairs, areas, assets, offices, parts, properties, sections, or equivalent of the Products or Services, you accept and agree to the statements, terms, conditions, and requirements described above and in the Codes and Policies, regarding the Founding and Governance of The Ikoku Group, in their entirety without modification, including as updated from time to time by the Founder, and you further accept and agree to fully inform the Founder in writing of any knowledge you have regarding the above and related activities and history.
