On Members and Voting
Overview
Certain operations and programs at The Ikoku Group have as part of their purposes the aim to enhance engagement and participation in communities, publics, and societies. So it is important to make clear the place, role and scope of membership, voting, and decision-making as they pertain to the company, its assets and properties, and its management and operation.
Therefore, persons engaged in activity within, for, on behalf of, in reference to, and otherwise pertaining to The Ikoku Group are expected to uphold the following:
Private and Single-Interestholder Status
— that The Ikoku Group be private in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management, and operation as well as interests, share and stock distribution.
— that The Ikoku Group be single-member in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management, and operation as well as interests, share and stock distribution.
— that The Ikoku Group be single-interest-, share- and stockholder in status, including with respect to company, corporate, divisional and organizational form and formation, administration, management, and operation as well as interests, share and stock distribution.
— that the sole interest-, share- and stockholder and member of The Ikoku Group be Alvan Azinna Chibuzo Ikoku, the Founder and Owner.
On Members
— that The Ikoku Group have no Members or Directors except persons formally appointed and approved by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder and Owner, as described in pertinent governance documents.
On Voting
— that The Ikoku Group provide no voting powers to any person or entity other than those accorded by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder and Owner, and only to Members or Directors appointed as described above.
— that such above powers be only those delineated and restricted by pertinent company Articles and Certificates of Formation, Operating Agreements and ByLaws signed and sealed by Alvan Azinna Chibuzo Ikoku, the Founder and Owner.
On Decision-Making
— that The Ikoku Group provide no decision-making powers to any person or entity other than those accorded via express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder and Owner, and only to Members or Directors appointed as described above.
— that such above powers be only those delineated and restricted by pertinent company Operating Agreements and ByLaws signed and sealed by Alvan Azinna Chibuzo Ikoku, the Founder and Owner.
Vote and Decision Approval
— that The Ikoku Group ensure that all such votes and decisions require authorization and final approval by express written instrument signed and sealed of Alvan Azinna Chibuzo Ikoku, the Founder and Owner.
Accordance with Ethics
— that The Ikoku Group ensure following any and all of the above principles further remains in accordance with the Codes and Policies and especially the Founding and Governing Code of Ethics.
Accordance with Mission
— that The Ikoku Group ensure following any and all of the above principles further remains in accordance with the founding mission and purposes of The Ikoku Group, without incompatibility, as described and delineated in the Codes and Policies and the Founder’s Agreement.

Provision
As stated earlier, The Ikoku Group User Agreement and Code of Conduct consist of several Codes and Policies that collectively govern all of your activity with, within, for, in reference to and otherwise pertaining to The Ikoku Group, including the divisions, series, subsidiaries, and affiliates. By continuing, you indicate that you understand that the Codes and Policies include — but are not limited to — the Founding and Mission Statement, the Founding and Governing Code of Ethics, the Policy on Privacy and Confidentiality, the Terms and Conditions of Use and Service, and the Acceptable Uses Policy along with all Associated Codes and Policies. Your Knowledge and Agreement
The Ikoku Group strongly recommends you develop and maintain your knowledge of all the Codes and Policies, and so asks that you read, understand, and regularly visit this section and other communications regarding the Policy on Members and Voting, as well as the Codes and Policies. The Ikoku Group takes your continued access, activity, communication, engagement, operation, participation, and other use or visiting of the Products and Services, as active indication of your knowledge, understanding, and legally binding acceptance of and agreement to this Policy as well as the Codes and Policies.
Your Duty to Organizational Integrity
And you further legally accept and agree that no application, interpretation, judgment, or other compliance, proceeding, or reading from, of, with, or otherwise relating to the Founding Ethics, the Codes and Policies, or any equivalent code, policy, or other document or material shall, in any way, entail any abrogation, diminishment, interference, or violation pertaining to any of the terms, conditions, principles, requirements, rights — including the attendant properties and protections — of company and organizational integrity.
